Urramoor Limited was a private limited company registered in England and Wales under company number 08424933, incorporated on February 28, 2013, with its nature of business recorded as SIC 64209, "Activities of other holding companies not elsewhere classified." It was struck off the register on April 1, 2025. Its name appears in documents released by the [Justice Department](/organizations/department-of-justice/) under the [Epstein Files Transparency Act](/concepts/epstein-files-transparency-act/): a solicitor's attendance note of August 8, 2013 filed under the heading "Urramoor," a [Cantor Fitzgerald](/organizations/cantor-fitzgerald/) term sheet of August 29, 2013 for a joint venture to be known as "Cantor Urramoor Asset Management," and a draft "Agreement for Referrals" of November 2013 between Cantor Opportunities, LLC and "Urramoor Limited." The Companies House register lists "Hrh Andrew Inverness" among its persons with significant control from April 6, 2016.[^1][^2][^3]

### Register Entries

The register records the incorporation on February 28, 2013. Its first director, an individual, was appointed and resigned the same day; a company-services company connected to the Mayfair solicitors' LLP at which the company's registered office was later placed was appointed corporate director on February 28, 2013 and remained on the register until the dissolution; and a further individual was appointed director the same day and resigned on March 11, 2020, when another individual was appointed. The appointment forms (AP01, AP02 and TM01) were filed on May 2, 2013. The annual returns for the periods to February 2014, 2015 and 2016 each carry a statement of capital of GBP 1. On June 2, 2014 the first accounting period was extended from February 28, 2014 to March 31, 2014.[^1][^4]

On November 5, 2015 the registered office was changed to the premises of the solicitors' LLP, from the address at which the November 2013 draft referral agreement brackets the company's registered office. A statement of capital filed on December 19, 2023 records an allotment of shares on December 14, 2023 and a capital of GBP 210,403. A first Gazette notice for compulsory strike-off was published on March 3, 2020 and the action was discontinued on March 4, 2020. The company applied for voluntary strike-off on January 3, 2025 (form DS01), the first Gazette notice followed on January 14, 2025 and the final Gazette notice, "dissolved via voluntary strike-off," on April 1, 2025. The last accounts were micro-company accounts to March 31, 2024 and the last confirmation statement was made on February 29, 2024.[^4]

### Persons with Significant Control

The register page for persons with significant control reads "3 persons with significant control / 0 statements," and lists four entries, three current and one ceased. Three of the entries are individuals connected to the solicitors' LLP: two current (notified April 6, 2016 and March 11, 2020) and one notified April 6, 2016 who ceased on March 11, 2020, the date the later individual was notified. Each of the three carries four natures of control: "Ownership of shares - 75% or more with control over the trustees of a trust," "Ownership of voting rights - 75% or more with control over the trustees of a trust," "Right to appoint or remove directors with control over the trustees of a trust," and "Has significant influence or control over the trustees of a trust."[^3]

The remaining entry reads "Hrh Andrew Inverness," notified on April 6, 2016, date of birth February 1960, nationality British, with the single nature of control "Has significant influence or control over the trustees of a trust." It carries no cessation date. Companies House states on the register pages that it does not check the accuracy of the information filed.[^3]

The August 29, 2013 term sheet describes the second partner as "[Urramoor], an entity owned by a trust created by Mr. T."[^5]

### August 8 and 9, 2013

On Friday, August 9, 2013 [Jeffrey Epstein](/people/jeffrey-epstein/) received, in reply to a forwarded message, a thread titled "HL Loan - CD/SM call note 8.8.13." The thread begins with a message displayed as from "The Duke," dated "9 August 2013 16:07:53 GMT+01:00," to [David Stern](/people/david-stern-business-adviser/) (whom the BBC describes as "the prince's business aide"), with the text "For your conversation with Charles," forwarding an attendance note sent at 09:56 that morning by a solicitor to "The Duke" and a second recipient. The note is headed "File Urramoor," "Matter HL Asset Management etc," "Date 8 August 2013," and records a telephone call to [New York](/places/new-york-city/) at 20:30 BST on Thursday, August 8. It lists these points:[^6]

"1. It is common ground that no PG will be required from AC."

"2. We agreed that it was appropriate to accelerate the agreement of the primary asset management entity as soon as possible."

"6. It is recognised that the asset management entity will have no balance sheet value day 1 but the commitment by AC to contribute any profits derived from the similar activity carried on outside the assets management company would be acceptable until such time as the debt was repaid."

Points 3, 4 and 5 of the list are blank. The note continues that the solicitor "agreed to send through to SM a copy of what we discussed and agreed (which will effectively be this attendance note suitably doctored) whereupon he will double check that this is acceptable to HL and we can proceed," and that "the intention was to put the structure together as soon as possible subject only to SM telling CD who the internal tax adviser would be," with the parties "agnostic as to which jurisdiction, USA, Cayman or otherwise as AC would simply declare his interest to HMRC in the usual way." It closes "A positive and short discussion which seems to reach agreement and accord," and lists next steps including "Tax guys to talk," "Agree shareholder agreement to reflect the above provisions in the entity's constitution," and "Make advance." The initials AC, PG, SM, CD, CPD and HL are not expanded in the document.[^6]

Stern forwarded the note to Epstein the same day with the remark that the solicitor was talking to "the Howard legal counsel who is in a different league," and asked, "What do you think ??" Epstein answered: "no no no no no, howards main businesss is gambing in las vegas. he will have to disclose to the las vegas commsion his arrangeent and you will have holy hell to pay."[^6]

### The Term Sheet of August 29, 2013

A document headed "Term Sheet (8/29/13 Preliminary Draft for Discussion Purposes Only)," marked "CONFIDENTIAL" with a "DRAFT" watermark, "summarizes certain key concepts regarding a joint venture to create an asset management business to be known as Cantor Urramoor Asset Management" (the "Company"). The partners are "Cantor Urramoor Asset Management Holdings, LLC ('Cantor Holdings'), a wholly owned subsidiary of Cantor Fitzgerald," followed by a redacted word, and "[Urramoor], an entity owned by a trust created by Mr. T." Cantor Holdings "would be the manager of the Company." The Company "would seek to earn management and incentive fees from managing investments" and "would be permitted to engage affiliates of Cantor as subcontractor to perform certain services such as brokerage, investment banking, subadvisory and asset management services."[^5]

The loan term reads: "Simultaneous with the formation of the Company and the Exclusivity Agreements, the Company would advance the sum of £1,000,000 to Urramoor which would accrue interest at an annual rate of 3.5%, compounded annually. Any distributions by the Company to Urramoor would be applied to the repayment of the balance." The exclusivity term reads: "Mr. T would refer all business opportunities (including his affiliates' business opportunities) to the Company, and would not directly or indirectly engage in any activity that the Company could not. Mr T. would assign any remuneration, ownership or control rights relating to any outside business activity to the Company. Any distributions of income to Urramoor would be conditioned on Urramoor and Mr. T's compliance with exclusivity obligations." On capital: "The Partners would not be required to make a capital commitment to the Company, provided that Cantor would make a capital contribution to the Company in an amount necessary to fund the Loan." The term is "Ten (10) years, subject to automatic successive [annual] renewals," support services would be provided "at 110% of fully allocated cost," and a "Sovereign Immunity" line reads "Mr T and T Limited etc will execute all appropriate waivers of immunity." The sheet ends: "This term sheet is for discussion purposes only. It is not a commitment to form the Company, either express or implied, does not impose any obligation or liability on any person, and does not constitute an offer of securities."[^5]

### The Exchange of September 2, 2013

A message of August 30, 2013 (00:27 as printed) from a Cantor sender to two solicitors, subject "Term Sheet from Cantor Fitzgerald to Mr. T," reads "Attached please find the draft term sheet. Please let me know when you would like to discuss it," and forwards a message of August 29 from a second Cantor sender. Stern forwarded it to Epstein on Monday, September 2, 2013: "See attached term sheet from Howard to PA. I think madness. They are still at it. We kill it ?" The exchange then ran as follows.[^7]

Epstein: "no predetermined split, and even then payments made only if they choose to? its crazy." Stern: "Kill the whole thing ? PA lawyer is out of his depth." Stern: "When can I call you ?" Epstein: "no , suggest a counter, fifty fifty split, first 1 millino to offset loan, no subs acting without written agreement as to fee and profits . no exclusivity,". Stern: "Instead of 50/50, can we do 40/40/20 ? 20 for me.... This is original PA idea." Epstein: "yes". Stern: "Dankeschön."[^7]

### The Draft Agreement for Referrals, November 2013

A document headed "AGREEMENT FOR REFERRALS," "made and entered into as of the day of November, 2013," is between "Cantor Opportunities, LLC," "a subsidiary of Cantor Fitzgerald, L.P.," and "Urramoor Limited" ("UML"). Its signature blocks for both parties ("By:," "Name:," "Title:") and the date are blank, and a joinder line is headed "David Stern." The recitals state that "UML has relationships with certain organizations and individuals including asset management firms, sovereign wealth funds, institutional investors, and high net worth individuals or family offices." Clause A.3 provides that "UML shall act as an independent third party and not as agent of Cantor" and that "Nothing in this agreement shall be construed or interpreted to create a partnership or joint venture," with UML acting "as a nonexclusive service provider." Clause C.1 provides that "UML's only services shall be to provide Cantor and any applicable CF Company with introductions to non-US persons, individuals, or entities," and the covenants are given by UML on behalf of its "agents (including but not limited to David Stern and UML's ultimate beneficial owners)," together defined as "Representatives." Clause C.5 provides that "none of UML, nor UML's Representatives, shall directly or indirectly ... solicit or refer potential clients for Asset Management Services to any person other than Cantor or a Cantor Company." The term is "five (5) years" under New York law.[^8]

Exhibit A lists asset management opportunities including "Real estate related equity or debt investments" relating to [United States](/places/united-states/) real estate, "Co-investment with Cantor in private equity/venture capital opportunities," and "Investment in funds or separate account managed by a registered investment advisor such as Cantor Comparative Advantage, L.P." Exhibit B reads: "a typical referral fee to Cantor would be 25% of the lender's fee paid from the borrower/purchaser to the lender, which lender's fee for example may be 1% of the principal amount of the loan. Such referral fee to Cantor would be split 50/50 with UML." The draft contains no loan clause.[^8]

On Thursday, November 14, 2013, at 18:35 GMT, a message with the subject "Draft Cantor agreement," whose signature block reads "Managing Director & Deputy General Counsel, Cantor Fitzgerald" (the recipient and copy addresses are partly redacted), was addressed "David." The text reads: "David, I have attached a draft agreement in connection with the matters we have discussed. Please note that it has not been fully reviewed internally but I believe it reflects the discussion we had. Please let me know if you have comments or questions." The attachment is named "LEGAL-#67891-v1-UML_Cantor_agreement_re_asset_management.docx." At 7:36 PM the same day David Stern forwarded the message and its attachment to Jeffrey Epstein under the subject "Fwd: Draft Cantor agreement." The released document does not include the text of the attachment.[^9]

On Saturday, November 16, 2013, Stern wrote to Epstein: "Have you seen Cantor Fitzgerald proposal?" and Epstein answered the same evening, "goofy."[^10]

### Reporting in 2026

The [BBC](/organizations/bbc/) reported on July 14, 2026 that [Simon Andriesz](/people/simon-andriesz/), a former employee of [Howard Lutnick](/people/howard-lutnick/)'s firm, found in the released files that "one of Lutnick's firms had made plans in 2013 to go into business with another figure linked to Epstein, the then-Prince Andrew, by commercially exploiting the contacts the former UK trade envoy had made." Andriesz told the BBC's File on 4 Investigates that "What it involved was a loan to Andrew Mountbatten-Windsor of £1m... to basically buy a prince." The BBC wrote that "Under the proposed terms of the deal, £1m would be loaned to a firm controlled by the prince, which would then be bound to do business exclusively with Cantor Fitzgerald," that "Epstein warned the prince's business aide, David Stern, against the deal, the files reveal," and that "advisers to both Lutnick and the former prince discussed the deal for four months, from August to November 2013, but it came to nothing."[^11]

Cantor Fitzgerald "did not deny the talks took place but told the BBC it did not go into business with the former prince." Andrew Mountbatten-Windsor "did not respond to a request for comment." The same article reported, earlier and concerning the allegations about Lutnick and [AdFin Solutions](/organizations/adfin-solutions/) rather than the 2013 proposal, that the US Commerce Department called them "a desperate partisan distraction from the historic work of this Administration" and said there was "no evidence of wrongdoing or legitimate cause for concern"; it also quoted a [White House](/places/white-house/) statement on Lutnick's behalf that "The BBC's pathetic and desperate attempt to slander Secretary Lutnick will do nothing to change the fact that he has been the most consequential Commerce Secretary in modern history."[^11]
